Business Law in Africa (OHADA)

The Organization for the Harmonization of Business Law in Africa (OHADA) was established by the Treaty on the Harmonization of Business Law in Africa (OHADA) signed on  October 17, 1993 in Port – Louis (Mauritius Ireland) and revised in Quebec (Canada) on October 17, 2008.

Seventeen (17) States are members of the Organization for the Harmonization of Business Law in Africa: Benin, Burkina Faso, Cameroon, Central African Republic, Côte d’Ivoire, Congo, Comoros, Gabon, Guinea, Guinea Bissau, Equatorial Guinea, Mali, Niger, the Democratic Republic of Congo (DRC), Senegal, Chad and Togo. The Treaty’s main objective is to address the legal and judicial insecurity in Member States.

We advise and assist foreign businesses and investors with regard to their projects in the OHADA region, particularly with incorporation, setting up, management and dissolution of companies and GIEs, launching of general business ventures, establishment and management of sureties (mortgage, pledges, and liens, as well as privileges and guarantees), recovery procedures and execution measures, amicable settlement of disputes, judicial recovery and liquidation of assets, bankruptcy, rehabilitation, and insolvency..

We have a strong track record advising on a full range of African corporate transactions including M&A, disposals, takeovers, joint ventures and IPOs as well as on PPP, venture capital and private equity financings.

We have a thorough understanding of the continent’s local and regional legal systems, business practices, local cultures and socio-political considerations, and of the issues and realities of doing business in Africa.and Ohinche Lahorgue Avocats prides itself on the quality and the targeted nature of its advice. We are able to advise at any stage of an investment. We have experience of directly advising boards of listed companies on their overall strategy in Francophone Africa. Equally, we excel in the detailed application of that strategy, working together with local and regional management to ensure its successful implementation.
